1.前言preamble

一份标准英文合同通常可以分为前言（preamble）、正文（operativepart）、附录（schedule）及证明部分即结束词（attestation）四大部分组成。前言（preamble）由“parties”及“recitals”两部分组成。

“parties”为必备条款，在很多时候称为“commencement”即合同的开场白，主要介绍合同各方的名称或姓名、注册地及地址、邮编及在合同中的简称。当然，并不是所有的合同都要详细介绍以上诸要素，在许多简单合同中，只是提一下各方的名称。

2.定义definition

在正文（habendum）部分，通常第一章为定义（definitions）部分。

定义条款即对合同中涉及的术语及名词作出限定、解释的条款。它可以散见于合同各个部分，但对于一些大型的、重要的合同，通常将其置于第一章。

i.常见的定义语句常用mean,referto,beconstruedas,include等来表达。如：

1."territory"meanstheunitedstatesofamerica.“销售地区”是指美利坚合众国。

2.“commencementdate”shallmeanthedateofsigningthisagreementbythelastsigningpartyhereto.

“协议生效日”是指本“协议”最后签字的一方签署本“协议”的.日期。

3.the“agreement”hereinreferredtoshallmeanthisagreementofagencybyentrustment.

“协议”在这里是指本委托代理协议。

4.“code”shallrefertothecurrentandapplicableinternalrevenuecode.

“法”是指当前可用的国内税收法。

5.referencetoanystatutoryprovisionshallbeconstruedasareferencetothesameasitmayhavebeen,ormayfromtimebe,amended,modifiedorre-enacted.

引用法律规定理解为引用其本身外，还包括其修订、修正或重新实施案。

6."expenses"includecosts,chargesandexpensesofeverydescription.“费用”包括各种形式的金钱支出。

ii.还有一类特殊的定义语句，即对于「单、复数」及「阴、阳性」名词的范围定义。通常都是用include来表达：

1."stockcertificate"includes"stockcertificate"and"stockcertificates".

合同中的“股票”，包括单数与复数。

2."he"includes"he"and"she".

合同中的“他”，包括“他”与“她”。

3.wordsusingthesingularorpluralnumberalsoincludethepluralorsingularnumber.

采用单数或复数的单词也包括复数或单数。

iii.定义语句中，有时需限定范围。而通常用得最多的是：“forthepurposeof”及“inrelationto”某概念的定义条款，如果适用范围仅限于合同的“特定部份”，可以用“forthepurposeof”来为定义条款起头。而如果定义条款是针对合同的“特定概念”，就用“inrelationto”来界定。如下例：

看了张源的简历，对于其目前的状况、做过些什么、能做些什么、有些什么能力和特长没有任何概念，但通过与她的交流，得知其人与所应聘的职位其实是非常匹配的，职位所要求的任职资格“qualifications”她都具备：

虽然张源具备了以上职位广告中提出的任职资格，但在简历中却未能够突显出来，因此，这样一份简历不能够吸引招聘人员的眼球，很可能第一关就被淘汰出局了。这份英文简历非常不专业，显得很幼稚，出现了很多错误：

①撰写英文简历，要遵循“user-friendly”原则，要处处替简历阅读者着想，为对方创造便利。hr每天要给数十名候选人打电话约见面试，手机号码的写法需规范，这份简历遵循了4－3－4的原则，方便拨打。但忽略固定电话则不应该。另外，还应该增加联系地址信息。（若是跨城市找工作，没有当地联系地址，则不写地址信息：因为若不是急需人才，用人单位可能会考虑到交通成本问题而不给面试机会。）

②③④⑤是求职意向。这份英文简历写成这样，很明显是在海投，没有度身定制。②表明求职者正在找全职工作。③期望行业，建议一份简历只写一种，不要出现“etc”（等等）字眼，更何况出现拼写错误。④若非跨地区求职，可不必特别注明期望地点，若是大型跨国公司，可以注明一下，用人单位会尽量考虑你的期望。⑤“negotiable”（薪酬可议）这句话相当于没写。显然，这是受到一些在线简历模版的影响，若是定制个性化英文简历，建议不要采用这些简历模板，而应取长补短。

⑥若非招聘广告特别注明，不必随同简历发送照片。公司招人主要看求职者知识、技能，看你毕业的学校和专业，看你接受过什么样的培训，参加过哪些项目，做过哪些工作。不要寄希望凭借外貌增加hr好感。如果公司明确要求附照片，则照办不误。

⑦工作经历部分写得太简单，标题出现拼写错误“extra-curriculars”。我想求职者在这里是想表示“课外活动”的意思，那么可以用“extracurricularactivities”，如果拿不准，可以用“experience”或者“socialwork”等简单词语代替。另外语言实在太简单了，没有有效展示自己。

⑧所获荣誉部分出现了拼写错误。如“activities”容易拼错，“top10literaturalpace-setter”我想求职者可能是指“十佳标兵”，但此处“literatural”是杜撰的词语，想说得简单点，可用“top10beststudents”来表示，其实是十个最优秀的学生之一嘛，不过就是中文词汇丰富了些，变换了说法而已。

⑨列出的课程过多，可将它们移至教育背景栏目下，并简单列出与应聘职位相关的课程，像“hotelmanagement”之类的就没必要提了。

⑩自我评价非常主观，用人单位其实要看你具体做了些什么。张源却把很多精力放在这里，寄希望全面展示优点，显然，这种想法是错误的。首先，这部分使用了大段文字，占据很大比重，无法引起hr的兴趣和注意力。要想抓住hr眼球，千万不要长篇大论，最好用简短有力的关键词和点句。简历中不应出现第一人称代词，这样显得不专业。如果你是与面试官面对面的交流，可以使用“i”、“we”等，但简历不应该出现“i”、“my”等字词，同时也应尽量减少非实义词语如代词、助词的出现频率。

这份英文简历没有经过精雕细琢，格式、字体不够统一，拼写错误时常出现，这样的简历在招聘人员看来，首先是态度问题，然后是能力问题，被淘汰是在所难免的。

当然，这份英文简历最失败的地方就在于没把能力充分展现出来，无法向招聘人员证明自己的能力，不能够说服招聘人员约见自己。在撰写简历时，如果能仔细研究招聘广告，当我们与所应聘的职位匹配程度越高，胜出的几率也就越大。

为什么要进行这样的修改呢？我们一一阐释：

①撰写英文简历时，开头就清楚地标明姓名及联系方式。hr看简历时，先看工作经历、学术背景，觉得差不多可以约见面试了，才看个人信息，

②英语地址写法应遵循由小到大的原则，正好与中文的反过来，先写××房间，××号，然后再写××路，××市，邮编，××省，国名。邮编的标准写法是放在市名之后，也可以放在省名之后，但一定要放在china之前。③把求职意向写得明确一些，让招聘人员明白你正在寻找什么职位。也可以紧跟着证明自己能够胜任这份工作的能力和资格。④简历栏目不宜过多，一般不超过五个，否则显得凌乱。在所学课程之下，罗列相关课程，如这里列出市场营销、管理学、商务英语等课程，能从增强阅读者对求职者的立体感。⑤⑥⑦是工作经验部分，遵循从最近工作经验写起的原则。在经历描述中，有详有略，最近经历要重点阐述，用人单位最感兴趣的是你目前正在做的，对于过去，兴趣会降低许多；相关经历要多写。⑤与目标职位最为接近，要对照目标职位的描述挖掘曾经做过的工作；⑥展示了英文水平；而⑦说明人际交流和沟通能力。每个工作描述所展示的技能都与目标职位息息相关。⑧根据任职要求有针对性地罗列技能，包括语言、计算机技能。张源在简历中没有提到自己的中文水平，比较遗憾。另外提到日语会话能力，增色不少。⑨在与张源沟通后发现的较有特色的兴趣爱好及特长。不具体的爱好和特长不写，以免在简历中留下话柄，面试中将会陷自己于不利的境地。例如，一般人喜欢说自己爱好读书、旅游、音乐等，假如面试官也是个音乐爱好者，与你攀谈起来，就露馅了。张源喜欢弹吉他和跳健美操，曾作为领队带领健美操队在校年度晚会上表演过，这一点使形象更加丰满。
